General Terms and Conditions (GTCs) for Domiciliation Services

1. Scope of Service

  1. Domiciliation: We provide a legal business address at Rennweg 57, 8001 Zurich (“Domicile Address”).
  2. Mail Notification: We receive and store incoming mail and parcels addressed to the Domicile Receiver at the Domicile Address. We notify you via email whenever such items arrive.
  3. No Automatic Mail Handling: We do not open, scan, or forward mail or parcels. If you choose a digital mailbox provider, any scanning or forwarding is performed by that provider under a separate agreement.

2. Approval & Right of Refusal

  1. Mandatory Approval: Any request for a new domiciliation agreement is subject to our prior review and approval.
  2. Sole Discretion: We reserve the right to refuse any domiciliation request at our sole discretion, without providing a reason or justification.

3. Fee Structure

  1. Setup Fee: A one-time setup fee is charged upon signing the domiciliation agreement to cover administrative costs, mailbox labeling, and related setup tasks. This fee is non-refundable and must be paid in full before the domiciliation service begins.
  2. Monthly Fee: You pay a monthly fee for the domiciliation service, in accordance with the chosen mail-handling option (digital mailbox or none). Fees are subject to applicable VAT.
  3. Billing & Payment: All fees are payable in advance on the first of each calendar month. Late payments may incur reminder fees and additional expenses.

4. Term & Termination

  1. Duration: Your domiciliation agreement remains in effect until terminated in accordance with the notice requirements specified in your contract (e.g., a three-month notice period).
  2. Renewals: The agreement automatically renews monthly unless terminated by either party.
  3. Address Updates: Upon termination, you must promptly inform all relevant parties of your new business address. We will remove your name or company name from any mailboxes and return subsequent mail to sender.

5. Mail and Package Liability

  1. Notification: We provide reasonable care in accepting and storing your mail, but we are not liable for lost, damaged, or misdirected items.
  2. Pickup Responsibility: You must collect all physical mail and parcels from the designated pickup area. Any unclaimed mail or parcels may be returned to the sender after a two month holding period.
  3. Registered/Time-Sensitive Mail: We accept no responsibility for missed deadlines or other consequences relating to registered mail, payment orders, or legal notices.

6. Access to Co-Working Facilities

  1. No Implicit Right of Entry: Domiciliation does not entitle you to co-working membership or access to shared office facilities at our co-working locations.
  2. Keys & Access Cards: Physical keys or entry devices are reserved solely for co-working members or tenants under separate agreements.

7. Digital Mailbox Option

  1. Separate Provider: If you opt for a digital mailbox service (e.g., PEAX), that provider handles any scanning, forwarding, or digital storage of mail, under the terms of your agreement with them.
  2. Proof of Subscription: You may be required to submit proof of your active subscription to a digital mailbox provider.
  3. No Liability: We are not a party to your arrangement with the digital mailbox provider and assume no liability for its performance or actions.

8. Changes & Amendments

Any amendments to these GTCs or your specific domiciliation agreement must be made in writing. We reserve the right to modify fees or other terms upon reasonable notice to reflect changes in VAT or other regulatory requirements.

9. Governing Law & Jurisdiction

These GTCs are governed by Swiss law. Any disputes arising in connection with the domiciliation service shall be subject to the exclusive jurisdiction of the competent courts in Zurich, Switzerland.
